Terms of Service

1. Who you're contracting with

PY Marketing AI (the "Service") is provided by PY Concepts LLC ("we", "us"). By creating an account or continuing to use the Service, you agree to these Terms. If you use the Service for a practice or company, you confirm you have authority to bind it, and you must be at least 18.

2. The Service

The Service is software that helps healthcare practices plan, draft, review, schedule and measure marketing for Google, Facebook and Instagram, including AI-generated drafts, compliance checks and approval workflows. You get a limited, non-exclusive, non-transferable right to use it within your selected plan.

3. Your account

Keep your sign-in details confidential; you're responsible for activity under your account. Provide accurate information and keep it up to date.

4. Acceptable use

You must not misuse the Service, including:

  • using it unlawfully, or for fraud, spam or deceptive advertising;
  • infringing anyone's intellectual property or privacy rights;
  • interfering with its security — malware, probing, scraping, or circumventing limits;
  • reverse engineering, reselling or redistributing the Service;
  • entering patient health information (PHI) into the Service. The Service is a marketing tool and is not designed to store PHI.

5. AI-generated content

You're responsible for the prompts you enter, for having rights to any content you upload, and for how you use outputs. AI outputs may be inaccurate or non-compliant and are not medical, legal or regulatory advice. Every output must be reviewed by qualified people in your organization before publishing; compliance checks in the Service are aids, not guarantees that content meets Google, Meta, FTC, state or HIPAA requirements. You must not use the Service to create illegal, misleading, hateful or impersonating content, or try to bypass its safeguards. We may remove or restrict content, refuse or filter outputs, and suspend accounts that break these rules.

6. Intellectual property

We own the Service, its software, documentation and branding. You own the content you put in and, as between us, the outputs you generate. You grant us a limited licence to host and process your content solely to provide the Service. Rights-holders can report infringing content to oluwaseun.oke@pyconcepts.com; repeat infringers' accounts will be terminated.

7. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, renewal, cancellation and refunds are governed by Paddle's Buyer Terms and our Refund Policy. Subscriptions renew automatically until cancelled.

8. Service level and warranties

We work to keep the Service available but do not guarantee it will be uninterrupted or error-free. To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. Suspension and termination

We may suspend or end your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the Service at any time. After your access ends, you have 30 days to request an export of your content, after which we may delete it.

10. Liability

To the extent permitted by law, we aren't liable for indirect, consequential or special damages (such as lost profits, data or goodwill), and our total liability is capped at the fees you paid in the 12 months before the claim. Nothing limits liability for fraud, death or personal injury where the law doesn't allow it. You'll indemnify us for claims arising from your content, unlawful use or breach of these Terms.

11. General

These Terms are governed by the laws of the State of Texas, and disputes go to the courts located in Harris County, Texas. You can't assign these Terms without our consent; we may assign them in a merger or acquisition. Neither party is liable for delays caused by events beyond reasonable control. We may update these Terms and will notify you of material changes.
